Background:
Lou Feldstein is a member of the Bars of Delaware, California and Washington, D.C. Over the past decade, Lou has successfully defended many of the world’s largest corporations in disputes involving just about every aspect of corporate life, including shareholder derivative claims, securities fraud claims, breach-of-contract and breach-of-fiduciary-duty actions, enforcement actions by the Securities and Exchange Commission, insurance coverage disputes, contested mergers and acquisitions, executive compensation disputes, stock-option issues, internal battles for corporate control, and many other contexts. Lou also has conducted internal investigations on behalf of the boards of directors and audit committees of numerous multinational corporations facing scrutiny from regulators and the courts.
In the course of his legal career, Lou has:

Defended a biotechnology firm against federal securities fraud claims.

Defended a major national bank against a multimillion-dollar contract and misrepresentation action filed by the bank’s former CEO in an effort to revive expired stock options.

Led teams of lawyers in the investigation and successful resolution of SEC inquiries into the allegedly irregular accounting practices of Fortune 500 companies.

Defended a major automaker against a multimillion-dollar contract action brought by the Lebanese supplier of military vehicles to U.S. armed forces in Afghanistan and Iraq.

Defended a director of a leading fitness company against a declaratory judgment action seeking to rescind directors’ and officers’ insurance policies.

Recovered hundreds of thousands of dollars in unpaid legal fees from former clients of a major law firm.

Represented a major national bank in enforcing its non-competition agreement with a former top executive.

Assisted a health-care management concern to regain control over Delaware limited liability company from renegade board members.

Investigated, litigated, and ultimately helped to negotiate the settlement of a worldwide class action against the three largest Swiss banks for their alleged misconduct during World War II.

Led an internal investigation of criminal allegations against a Major League Baseball organization’s leading talent scout in the Caribbean.

Conducted an internal investigation of a Fortune 100 company’s worldwide accounting practices as part of the resolution of an SEC inquiry.

Defended a state bank against numerous class-action lawsuits alleging participation in an investment scam against public school districts.

Defended the executive director of a non-profit legal services organization for abused women against a defamation lawsuit brought by a client’s former spouse.
Before becoming an attorney, Lou spent 10 years as an award-winning investigative reporter and editor for The Miami Herald. His articles led to the indictment, conviction, and/or early retirement of many politicians and public officials in Florida during the 1980s and early 1990s. In 1990, Lou completed a Knight-Ridder media fellowship at Duke University. In 1992, after Hurricane Andrew destroyed thousands of homes in South Dade County, Lou’s three-month series of articles on the shoddy building practices of some of South Florida’s most reputable homebuilders helped The Miami Herald win the Pulitzer Prize Gold Medal for Outstanding Public Service.
More recently, Lou served as an elected member-at-large of the Executive Committee of the Delaware State Bar Association. He was named by Delaware Gov. Ruth Ann Minner to a three-year term on the Governor’s Advisory Council for Hispanic Affairs, which advises the Governor on public policies and services affecting Hispanics.
Born and raised in San Juan, Puerto Rico, Lou is fluent in oral and written Spanish.
